If the Corporation proposes to register any of its stock or other securities under the Act in connection with a public offering of such securities (other than a registration on Form S-4, Form S-8 or other limited purpose form) and all Preferred Stock has not theretofore been included in a registration statement under paragraph 2 which remains effective, the Corporation agrees to give the Shareholder and all other holders of the Preferred Stock prompt written notice of such registration.
